Introduction to the BIDACTION auction platform

We are happy to finally welcome you to BIDACTION!

The automobile auction platform tailor-made for real automobile traders!

Confidence, skills and experience

BIDACTION is a digital platform and support service for used car sales and purchase transactions, designed exclusively for road and recreational vehicle dealers. By traders we are talking about new and used car dealerships, wholesalers, recyclers as well as importers and exporters. Our community is therefore made up of members holding merchant or sales permits issued by their respective province.

In just a few years, the automotive world has experienced great changes caused by various factors, which has led us all to become creative with our transactions in order to obtain the most profits or avoid most losses, depending on the situation.

We have witnessed unethical practices between merchants and auctions favoring a certain type of customer only, focusing only on sales, leaving their customers to their own devices during arbitration settlements and neglecting a good number of independent traders. This is what led us to want to work with merchants to help them see beyond their offers and adapt to demand. The impact of transactions between traders on the economic market is major!

Information = Evolution

As the trend is towards opportunity, BIDACTION takes advantage of the importance of digital platforms which have profoundly transformed the way we communicate, consume information, work, learn and entertain ourselves. So, why not come together in one place and enjoy BIDACTION benefits such as:

  • Connectivity and communication: Allow users in real time to stay connected, informed and carry out instant transactions while benefiting from support adapted to their needs.
  • E-commerce: Provide businesses with the ability to display and sell through an auction system, thereby providing other merchants with easy access to a diverse range of used vehicles to replenish their inventory, while ensuring secure transactions.
  • Access to Information: Serving as online information sources, offering a wide range of content beneficial and useful to wholesale automotive businesses. This allows users to access knowledge and resources to increase their productivity by making better choices and transactions.
  • Adaptation and creativity: Providing a space adapted to the needs of traders, while allowing them to broaden their horizons, develop new ideas, products and services to better adapt to changes or market trends.
  • Collaboration and remote work: Enable remote collaboration between merchants and allow them to continue their professional activities while traveling while benefiting from premium customer service! Despite the distances, with BIDACTION you will never be alone!

SECTION IV - Conduct of BIDACTION auctions

Vehicle registration

Sellers can list their vehicles themselves or through our listing agent service.

Open and timed auctions

Bidding is open and timed. This means they are transparent and detailed, allowing buyers and sellers to negotiate price and terms to get the best value.

Start of auction

Each auction begins the moment a vehicle's registration is completed.

Setting

Buyers can view details of vehicles up for auction and bid on vehicles that interest them in real time. They can bid at any time during the auction period. They receive notifications when they are outclassed by other offers.

Auction duration

The duration of each auction is determined by the vehicle registration date and the auction end date chosen by the seller. To the right of each vehicle sheet, you will see a countdown in red which will tell you the time remaining in each auction.

End of auction

Each day, vehicles auctioned will end at 1 p.m. depending on the end date chosen by the seller at the time of registration. If the reserve is reached at the end of the auction, the vehicle will automatically be sold to the last bidder.

Negotiations

When the reserve is not reached, the high bidder and the seller will be in a negotiation period. Negotiations can last up to 24 hours after the auction ends.

Transactions

When an agreement is reached or a reserve is reached, the buyer must make payment for the vehicle purchased and the seller must transmit the files to BIDACTION to receive payment. *More details in the Transactions section.

Pick up

Once the transactions have been settled, the buyer must collect the vehicle or order transport on the BIDACTION platform.

Arbitration

An arbitration service is offered to users who need it in order to resolve a dispute following a transaction. *See our arbitration rules.

Evaluation

Buyers and sellers can leave ratings and comments about their experience with BIDACTION and the transaction to help us improve the platform.

  • Negotiation: 24 hours following the end of the auction, buyers must honor their last bid throughout this period.
  • Buyer payment: maximum 24 hours following purchase
  • Transport request: normally, transport requests must be made at the same time as choosing your payment method so all transport should be ordered no later than 24 hours following the purchase
  • Collection of vehicles: If payment can take up to 24 hours, the so-called normal collection time is 72 hours.
  • Sending documents relating to the sale: All documents such as registrations and release letters must be sent 24 hours following the sale
  • Request for arbitration: Buyers who pick up their vehicles within 72 hours will have 48 hours following taking possession of the vehicle to make a request for arbitration. Any vehicle picked up after 72 hours must be disposed of within 24 hours of taking possession of the vehicle. Vehicles picked up after ten (10) business days (2 weeks) following the sale may lose their right to arbitration. This does not apply if the buyer is able to prove that he ordered his transport within a reasonable time (72 hours following the transaction).

SECTION VII – SELLER OBLIGATIONS

  • Register a vehicle on BIDACTION
All vehicles listed for sale on BIDACTION must have a visible public vehicle identification number
  • All vehicles must have a registration certificate, in accordance with the territory to which they belong, in the name of the selling merchants
  • Vehicles classified as irrecoverable, therefore so damaged that they cannot be rebuilt or obtain the right to circulate in Quebec, will automatically be sold AS IS for the sale of parts only.
*For full details regarding these representations, see our arbitration rules.
  • Sellers must provide Carfax* vehicle history reports when registering their vehicles
  • Vehicle registration service
The BIDACTION vehicle registration service is offered to sellers. Agents are experienced and trained to declare vehicles properly. However, sellers must ensure that the information declared by our agents is complete and accurate. Under no circumstances can registration agents or BIDACTION be held responsible if information is missing or incorrect during the auction. The seller is solely responsible for everything contained in the vehicle data sheets.
  • Reserve
The reserve is the price that obliges the seller to sell his vehicle. This price can be reached during the auction and continue to receive bids until the end of the countdown. Sellers understand that their vehicles will automatically be sold at the end of the auction if their reserve is reached.
  • Negotiation
When the reserve price of a vehicle is not reached during the auction and the time has expired, the seller has 24 hours to negotiate with the buyer by making counter-offers directly on the BIDACTION platform. A BIDACTION sales expert will contact both parties during this period to try to reach an agreement. Following the 24-hour negotiation period, if the vehicle is not sold, it will be automatically canceled.
  • Unsold vehicles/Putting “Repost” vehicles online
All unsold vehicles can be re-auctioned as many times as desired, free of charge. Be aware that the more times a vehicle is put up for auction, the lower the chances are that it will be sold. We advise you to review your selling price before relaunching your vehicles online. The Carfax RHV* of each unsold vehicle will be billed to sellers monthly. Invoices will be sent during the first week of the month following the invoiced period.
  • Delivery of vehicles/Release form
As soon as BIDACTION receives full payment for the vehicle from the buyer, sellers will receive an email with the release form for the sold vehicle commonly called “Release”. The buyer or transporter of said vehicle will also receive a copy. Receipt of the release form indicates to sellers that they can release the sold vehicle to the buyer or its carrier. Attention! As a seller, it is your responsibility to require that the buyer or carrier who comes to pick up a vehicle show you their copy of the release. Sellers are authorized to refuse the release of a vehicle sold if no release form is presented to them, whether a printed copy or on a mobile device.
BIDACTION strongly suggests that you complete the fields at the bottom of the release forms with the person picking up the vehicle. Not only could it be useful to you in the case of arbitration, but for several other reasons or situations.
  • Arbitration
The seller's obligations related to arbitration on BIDACTION may include:
    • Consent to arbitration: By using the BIDACTION platform, the seller agrees to resolve any dispute arising from its transactions with buyers through the BIDACTION arbitration system, in accordance with the terms of use of the platform. The seller accepts and understands that he is solely responsible for arbitrable files on his vehicles sold.
    • Participation in arbitration: In the event of a dispute with a buyer, the seller agrees to participate in good faith in the BIDACTION arbitration process and to cooperate fully with the arbitrators to find a fair and mutually acceptable resolution.
    • Provision of evidence and information: The seller agrees to provide all relevant evidence and information necessary to resolve the dispute, including documents, communications, and testimonies, within the deadlines set by BIDACTION.
    • Compliance with arbitration decisions: The seller undertakes to respect the decisions rendered by the BIDACTION arbitrators as part of the arbitration process and to comply with the corrective measures or recommended actions, if applicable.
    • Costs and Fees: The seller may be required to pay arbitration fees related to the resolution of the dispute, according to the terms of BIDACTION. He agrees to pay these fees within the deadlines set by the platform.
  • Sales canceled outside of arbitration and “double sold fees”All vehicles put up for auction must be available for sale. The contracts generated by BIDACTION are enforceable and bind both parties. Any seller who requests cancellation of a confirmed sale on BIDACTION will be charged a $500 penalty fee.
  • Payment to seller
Each seller authorizes BIDACTION to deposit funds for the value of their transactions, directly into the company's bank account that was submitted during registration. The seller accepts that any sum owed to BIDACTION for its sales, such as administrative fees and auction fees, will be deducted from the amount of the net sale value by BIDACTION at the time of payment for each vehicle sold. This authorization also includes that BIDACTION has the authorization to withdraw funds from the company's bank accounts deposited in error.
  • Reimbursement of a vehicle
The seller accepts and understands that he must refund the BIDACTION auction no later than five (5) business days following the cancellation. Depending on the value of the refund, if other transactions are pending payment, the amount due may be deducted directly from other transactions unless the seller is enrolled in the default payment method of pre-authorized debit. An account suspension may be applied until the vehicle is fully reimbursed. If thirty (30) days have passed without reimbursement, BIDACTION has the necessary authority to resell the vehicle, the seller being held responsible for losses and costs caused by the resale.
  • Processing of transactions with the seller
    1. Transfer of ownership: As soon as the sale is concluded, the seller must send the vehicle registrations to BIDACTION in order to obtain payment for his vehicle as quickly as possible. SUTILs must be in the name of the company selling the vehicle, no chain of ownership is accepted. Users with a SAAQClic merchant account that can make SAAQClic transfers will have to make the transfer in the name of the company purchasing the vehicle and its information. The information necessary for transfer to the buyer is displayed on the sales contracts. Proof of transfer must be sent by email to [email protected] and not to buyers! For merchants who do not have access to make SAAQClic transfers, they will be able to send the SUTIL and the digital ATAC completed with the buyer's information, by email to [email protected].
    2. Verification of out-of-province RDPRM/UCDA links: Each vehicle sold for the sum of $2,500 or more will be verified with the RDPRM or UCDA systems, depending on the province of sale of the vehicle. If a link appears during searches, before receiving payment, the seller must provide the letter of receipt from the bank or institution having authority over the vehicle. In certain cases, BIDACTION could accept paid outs, some conditions apply.
    3. Payment for the vehicle: Once all the necessary documents compliant with the sale have been received from the seller, BIDACTION will initiate payment via its banking system. Sellers will be able to receive payment for the vehicle, directly in their bank account, within approximately 48 hours depending on their banking institutions. For sellers wishing to be paid by check, these will only be produced once a week, on Thursdays, and sent the same day by express.

SECTION VIII – BUYERS OBLIGATIONS

Buyers on BIDACTION are required to respect the rules and policies of the platform, in particular with regard to practices during BIDACTION auctions, payment and pickup times as well as communication with BIDACTION members and sellers and at undertake to respect the deadlines and criteria authorized for arbitration requests.

  • Exploration of vehicles displayed at auction

By accessing the Current Auctions page of the platform, buyers have access to all the maps of the vehicles displayed at the BIDACTION auction.

  • Bet

Wagers are legally binding and participants are responsible for all wagers placed using their account.

Before placing bids on the vehicles they are interested in, buyers carefully evaluate the information provided in the detailed information sheets such as vehicle descriptions, photos and Carfax* vehicle history reports made available to them. They take into account the general condition of the vehicle and its history to determine its value and relevance.

Buyers who cannot follow the entire progress of the auction will receive emails and notifications when they have been outbid by another buyer and will be able to discount vehicles from that moment to remain the highest bidder. Same thing when a MAXBID is placed, if this amount is reached, an email and notification will be sent to the buyer who can always readjust their stake.

  • MAXBID

MAXBID is the term used by BIDACTION to describe an automatic bet. This amount, entered in the MAXBID box, is the maximum amount that the buyer wishes to pay. The BIDACTION platform system will bet for the buyer each time another user bets on the vehicle, up to the amount of your MAXBID. In cases where your MAXBID is reached, you will be notified to allow you to readjust your bid and remain the highest bidder.

Attention ! You may bet the same amount as another user's MAXBID. In this case, you will see this amount displayed as the best bet, but the system will record this bet in the name of the first user to have entered this amount, therefore the one who entered a MAXBID. Please pay attention to the position indicators in the main photo box at the top left for this purpose.

  • Verification of the elements made available to them

The buyer, being a car dealer, has a level of experience which allows him to fully understand all the elements of the detailed vehicle data sheets made available to him. BIDACTION works with sellers to ensure that each vehicle sheet is described and detailed as honestly as possible in a Page 17 Initials _______ clear and transparent manner. Except in the case of missing or incorrect information, under no circumstances can the buyer request compensation for elements appearing on the detailed sheets.

  • Win an auction
    1. By reaching the reserve during the auction: If the reserve of a vehicle is reached before the end of the auction, an indicator on the map and the detailed vehicle sheet will indicate this to all users. Buyers will be able to continue bidding on the vehicle until the end of the auction even if the reserve is reached. At the end of the auction, the best bidder will automatically be the buyer of the vehicle, without negotiation.
    2. Without reaching the reserve/negotiations: As soon as a vehicle has finished, without reaching its reserve, it enters a negotiation period lasting 24 hours. The buyer understands that he must honor his last bid throughout the negotiation period, even if he receives a counter-offer from the seller!

The buyer who receives a counter-offer via the BIDACTION platform, either from the seller or a BIDACTION member, has the choice of increasing their current bid or keeping it as is. The vehicle could be sold at the amount of the last bid during the 24 hours of negotiation and under no circumstances can the buyer withdraw unless the negotiation period has ended.

A buyer who remains firm on his last bid understands that the vehicle could be offered to another buyer in order to complete a sale. If another buyer offers a larger amount than the current high bidder, the current high bidder will be notified of the sale amount and will have one last opportunity to offer that same amount and at least $100 more.

  • Default payments pre-authorized debit

All BIDACTION users agree to pay all amounts due at the auction by pre-authorized debit (see form for this purpose) when registering on the platform. This default payment method will be selected on the Action Required page. Buyers have 24 hours following their purchase to modify this payment method, otherwise the default payment method will be automatically selected and started. *The default payment method DPA may be replaced by another default payment method at the time of registration which must be submitted to BIDACTION for approval. Any buyer who does not respect the BIDACTION payment terms with a default payment method other than DPA must submit to the DPA default payment method, otherwise they could see their BIDACTION account closed.

The amounts owed by buyers are:

    1. Sale value of the vehicle purchased: When a buyer wins an auction on BIDACTION, he is required to pay the amount of his winning bid for the vehicle he acquired 24 hours following the sale.
    2. Auction fees: BIDACTION users are aware that auction fees are charged to them for each transaction. Auction fees are the same for buyers and sellers to establish a system of equality and highlight the importance of these parties.
    3. Transaction Fees: In addition to auction fees, buyers may be subject to transaction fees, such as payment processing fees or administrative fees, according to BIDACTION policies.
    4. Taxes and other fees: Depending on applicable tax laws and BIDACTION's terms of sale, buyers may be required to pay taxes on the full amount of their winning bid, as well as other fees associated with the transaction.
    5. Delivery Charges: If the vehicle must be delivered to the buyer, the buyer is responsible for delivery, transportation or shipping charges.
  • Processing of buyer transactions

Choose your payment method: Once the auction is won, the buyer must choose their payment method in the Purchases – Required Actions section, the same day they won the auction. If no action is taken during this time, the default payment method chosen by the user when registering with BIDACTION will be automatically selected and started the day following their purchase.

Transport request: When choosing their payment method, the buyer also has the possibility of making a transport request. Transport is payable at the same time as the vehicles. *See details below in the Transportation section.

Payment received: When BIDACTION receives full payment for the purchase contract, the buyer will receive their release form which will allow them to collect their vehicle. The buyer is obliged to show this release form to the seller, otherwise he will be refused delivery of the vehicle. Please note, when a transport request is made, the carrier will receive the release form and not the buyer to avoid misunderstandings.

  • Transportation

BIDACTION works with experienced car transporters, who share the same values as the company, namely professional, efficient and honest customer service. The amounts charged to customers are the exact amounts charged by the carriers. BIDACTION only collects the fees and remits them to the carriers.

The buyer who makes a transport request will have their transaction put on hold until the quote is returned from the carrier. The quoted price will be sent to the buyer by email. This must approve or refuse the submission as soon as possible. If the buyer approves the transport amount, he will have to provide his method of payment at the same time, because the transport amount will be added directly to the purchase contract and must be paid at the same time as the vehicle and all other costs associates.

For all transport requests made after payment for the vehicles, it must be sent to [email protected]. The transport amount that will be invoiced by BIDACTION must be paid for the transport order to be made.
